Listnr AI – Terms of Service

Welcome to Listnr AI! These Terms of Service ("Terms") form a legally binding contract between you and Listnr Software Private Limited ("Listnr," "we," "us," or "our") governing your access to and use of our websites, desktop and mobile applications, APIs, software developer kits, and any related services (collectively, the "Services"). By creating an account, purchasing a subscription, or otherwise using the Services, you agree to be bound by these Terms. If you do not accept them in full, do not use the Services.

1. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated at least 30 days before they take effect via email and/or an in‑product banner. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

2. Definitions

"Account" means the user profile you create to access the Services.
"Input Content" means any text, audio, video, image, voice sample, prompt, or other material you upload or otherwise provide to the Services.
"Generated Output" means the synthetic speech, translated or dubbed audio, videos, transcripts, or other media the Services generate in response to your Input Content.
"Voice Model" means the machine‑readable representation of a voice or speaker style derived from Input Content.
"Business Day" means Monday through Friday, excluding public holidays in India.

3. Eligibility & Account Responsibilities

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have the legal power to enter this contract. You agree to:

Provide true, accurate, and complete registration information.
Maintain the security of your Account credentials.
Promptly update any information that becomes inaccurate.

You are responsible for all activities that occur under your Account.

4. The Services

4.1 Scope

The Services include, without limitation, text‑to‑speech, speech‑to‑text, AI voice cloning, language dubbing, AI video generation, podcast hosting, developer APIs, and related tools.

4.2 Beta & Preview Features

We may label certain features as beta, preview, early access, or similar. These features are provided "AS IS," may be modified or discontinued at any time, and are excluded from any service‑level commitments.

5. Subscriptions, Fees, & Payments

5.1 Plans

Access to most Services requires a paid subscription (monthly or annual) or pay‑as‑you‑go credits. Plan details, limits, and current prices are shown in the checkout flow and on our pricing page.

5.2 Billing

We use third‑party payment processors (e.g., Stripe) and never store raw card data. By subscribing, you authorize us to automatically charge the payment method on file at the start of each billing cycle until you cancel.

5.3 Refunds & Right of Withdrawal

Lifetime Deals (LTD) – All Lifetime Deal purchases are final and non-refundable. By purchasing an LTD, you acknowledge that you are acquiring perpetual access to the Services at a discounted rate and waive any right to a refund, except where prohibited by applicable law.
EU/UK consumers have 14 calendar days to withdraw from a digital‑content contract unless Services have been fully performed after your express request. We will deduct value consumed before withdrawal.
India – refunds comply with the Consumer Protection (E‑commerce) Rules 2020.
All other users – we offer a discretionary full refund if you contact support within 7 days of your first purchase and your aggregate usage does not exceed 1 000 words or 5 minutes of audio generation, whichever comes first.

5.4 Taxes

Fees are exclusive of any applicable taxes, which will be added as required by law.

6. Acceptable Use & Prohibited Conduct

You shall not, and shall not enable or permit others to:

Upload or clone a voice without the clear, verifiable consent of the individual whose voice it is.
Generate or distribute content that is unlawful, defamatory, harassing, hateful, or that violates privacy, intellectual‑property, election‑integrity, biometric, or child‑safety laws.
Mislead listeners or viewers into believing Generated Output is authentic human speech where reasonable disclosure is required.
Attempt to reverse engineer, scrape, or harvest data from the Services to train competing models.
Interfere with or disrupt the integrity or performance of the Services.
Use the Services in connection with any high‑risk activity (e.g., medical diagnosis, emergency communications) where errors could lead to serious harm.

We reserve the right to suspend or terminate Accounts and delete content that, in our sole judgment, violates these Terms or poses risk to others.

7. Intellectual Property & Licences

7.1 Your Content

You retain all rights in Input Content, subject to the licences granted below. You represent that you have all necessary rights to upload Input Content and that it does not infringe any third‑party right.

7.2 Licence to Listnr

You grant us a world‑wide, non‑exclusive, royalty‑free licence to use, reproduce, modify, and process Input Content solely for the purpose of providing and improving the Services (including troubleshooting, security, and model‑quality enhancement). Where Input Content contains biometric identifiers (e.g., voice), we will seek your explicit consent before using it for model‑training beyond the session that produced the initial Generated Output, and you may opt out at any time from your dashboard.

7.3 Generated Output

To the extent permitted by applicable law, Listnr assigns to you all intellectual‑property rights it may hold in the Generated Output. We make no representation that Generated Output will be unique or non‑infringing with respect to third‑party rights.

7.4 Service IP

All rights not expressly granted are reserved to Listnr. The Services, underlying models, code, and branding are our exclusive property and protected by copyright, trademark, and other laws.

8. Voice & Biometric Data

Because voice samples qualify as biometric data in many jurisdictions, we:

Store raw audio files for 30 days by default, after which they are deleted or irreversibly anonymised unless you opt to retain them.
Provide an in‑dashboard toggle to disable model‑training on your voice data.
Require written consent from every identifiable speaker whose voice is uploaded.

9. Termination

You may cancel your subscription at any time from your billing portal; cancellation prevents future charges but does not retroactively refund past charges. We may suspend or terminate your Account immediately for material breach (including non‑payment or prohibited conduct) or upon 30 days' written notice for convenience.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, non‑infringement, and that the Services will be uninterrupted, error‑free, or secure. You are solely responsible for evaluating the accuracy of Generated Output before use.

11. Limitation of Liability

To the fullest extent permitted by law, Listnr's total cumulative liability arising out of or relating to these Terms or the Services shall not exceed the greater of (a) INR 10 000 or (b) the fees you paid to Listnr in the 12 months preceding the claim. We are not liable for indirect, special, incidental, punitive, or consequential damages, or for loss of profits, revenue, goodwill, or data.

Some jurisdictions do not allow certain disclaimers or limitations; they apply to you only to the extent permissible.

12. Indemnification

You will indemnify and hold harmless Listnr and its directors, officers, employees, and agents from any claim, demand, loss, or damage arising out of: (a) your breach of these Terms; (b) your Input Content; or (c) your violation of any law or third‑party right.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Services shall be resolved through:

Arbitration – if negotiation fails, disputes will be settled by binding arbitration under the Arbitration and Conciliation Act, 2015, with proceedings in New Delhi, India.

EU/UK consumers retain the right to bring proceedings in their local courts.

14. Miscellaneous

Severability – if any provision is unenforceable, the remainder stays in effect.
Assignment – you may not assign these Terms; we may assign them with notice.
Force majeure – neither party is liable for delays due to circumstances beyond reasonable control.
Entire agreement – these Terms supersede all prior agreements on the subject matter.
